Annual Compliances

The taxes chapter should give you an overall idea about taxes.

Aside from sending the mandatory love letters to IRS on time every year, you may have certain state-specific requirements to fulfill.

Depending on where your LLC is formed, it could be filing an annual report, paying a fixed or variable fee, or something else. Check with the state's official website to find out about the specifics.

But in the case of a Delaware LLC, the only yearly requirement is to pay an annual franchise fee of $300 which is due by June 1 every year.

So to recap, a non-resident single-member Delaware LLC, with default disregarded tax treatment, has the following obligations every year:

  • File a pro forma Form 1120 and Form 5472
  • Pay the $300 annual franchise fee to Delaware
  • Pay the registered agent
  • File 1040-NR for US-sourced income (an ITIN is required to file Form 1040-NR)
